# Proposal draft
Use this when the deal record has enough evidence for a first draft.
## Draft in this order
1. Customer situation and stated goal, with source.
2. Proposed approach tied to that goal.
3. Scope, deliverables, customer duties, exclusions, and dependencies.
4. Outcome measures and review method.
5. Approved commercial summary or marked placeholders.
6. Open questions, approvals, and next step.
Use only approved product, security, service, and customer claims. Keep a claim
log that points to its source. Mark assumptions and do not write them as agreed
facts. Use placeholders for unapproved price, dates, terms, or capability.
## Handoff
Return the draft, source list, open decisions, and reviewers needed. Do not send
the proposal or represent it as final. Legal clauses, warranties, liabilities,
data terms, intellectual-property terms, and governing law go to counsel.
